Master Services Agreement
1. Scope
This Master Services Agreement (MSA) governs the commercial relationship between the customer and Reparpay LLC, in addition to the Terms of Service and any order form.
2. The services
Reparpay provides the platform services described in the Product documentation, with the modules and SLAs detailed in the applicable order form.
- Payments — authorisation, capture, refund, void.
- Disputes — managed response, evidence handling, outcome ledger.
- Ledger — double-entry journaling, multi-currency, exports.
- Risk — fraud scoring, plain-language rules engine.
3. Onboarding
Customer onboarding includes KYB, beneficial owner verification, and acceptance of the Acceptable Use Policy. Median onboarding time is 3-4 working days.
4. Pricing & billing
Fees are itemised on the order form. Monthly invoices are issued on the first business day of the following month, payable within 30 days by SEPA mandate or bank transfer.
5. SLAs
Uptime, support response, and recovery time objectives are governed by the SLA schedule of the order form. Service credits are issued as written there.
6. Funds & settlement
Customer funds are held in segregated client money accounts at our partner institutions. Settlement schedules are defined per acquirer in the order form, with same-day options available on Scale and Enterprise.
7. Dispute economics
Reparpay does not take a cut of recovered chargebacks. Recovered funds are remitted to you in full, on the next settlement cycle.
8. Audit
Customer may audit the services once per calendar year on 30 days' notice, with reasonable scope, at their own expense. We will also provide the latest SOC 2 Type II report under NDA on request.
9. Confidentiality
Both parties' confidential information is protected for 3 years past termination, including pricing, system architecture and customer roster.
10. Term & termination
Initial term is 12 months unless otherwise stated, with annual auto-renewal. Either party may terminate for convenience with 60 days' notice prior to renewal.
11. Disputes
Parties will attempt good-faith resolution within 30 days. Failing that, the courts of Paris have exclusive jurisdiction.
12. Operating entity
The Reparpay platform is operated by Reparpay LLC, a limited liability company registered in the State of Wyoming, United States (filing ID 2026-001980552, filed 18 May 2026).
