Terms of Service

1. Acceptance

These Terms of Service govern your use of the Reparpay platform, operated by Reparpay LLC (Wyoming filing 2026-001980552). By creating an account, calling the API, or using the dashboard, you agree to these terms.

2. Eligibility

Reparpay is provided to businesses, not consumers. You must represent a legal entity in good standing in a jurisdiction where Reparpay is available, and you must have authority to bind that entity.

3. Your account

You are responsible for the security of your API keys, dashboard credentials and SSO configuration.

Keep production keys outside your version control.
Rotate keys at least every 12 months.
Enable SAML SSO and SCIM on Scale plans and above.

4. Acceptable use

You may not use Reparpay to process payments for prohibited categories (firearms, controlled substances, IP-infringing content, and the full list maintained at /legal/aup). We may suspend access for documented violations after notice.

5. The platform

Reparpay provides payment orchestration, dispute response, refund, ledger and risk APIs. The detailed scope of services is governed by your order form and the Master Services Agreement.

6. Fees

Fees are billed monthly in arrears based on processed volume and any add-ons. See the published pricing or your order form for current rates. Recovered chargebacks are remitted to you in full.

7. Confidentiality

Each party will protect the other's confidential information with the same care as its own, for the duration of the agreement and three years thereafter.

8. Data & privacy

Our Data Processing Addendum is incorporated into these terms by reference. Personal data is processed in line with our Privacy Policy.

9. Warranties & liability

Reparpay warrants that the platform will operate substantially as described in the documentation. Aggregate liability is capped at fees paid in the preceding 12 months, except for breaches of confidentiality and IP indemnity.

10. Termination

Either party may terminate for material breach uncured for 30 days. On termination, we will export your ledger and customer data in a structured format at no charge for 90 days.

11. Governing law

Wyoming (USA) law governs these terms. Disputes are subject to the exclusive jurisdiction of the courts of Sheridan County, Wyoming, subject to mandatory EU consumer rules where applicable.
